Thank you very much Daily Brief Team for providing this wonderful breakdown/description of the lifetime and excellent work by Woodford and Hall. 👍 Not surprised in the least as you folks would not have missed writing about it anyways 🙂

An important distinction in the IDBI–Fairfax transaction is between acquiring the bank and executing the wider financial-services strategy.

Fairfax's October 14 announcement makes clear that no binding definitive agreements have been signed, and that the bank acquisition could proceed without the proposed Digit and IIFL contributions.

That creates two different investment cases.

One is the acquisition of a standalone banking business.

The other is an integrated financial-services platform whose anticipated synergies depend on additional approvals and successful execution.

For cross-border acquirers, I would separate the ability to purchase an asset from the ability to operate it in the intended way.

Those are not necessarily the same thing.

I would be interested in seeing the transaction evaluated under two scenarios: the bank operating independently and the proposed integrated platform.

The difference between those outcomes is an important part of strategic execution risk, not merely a regulatory footnote.
